Draft 0.1.0Restructuring a business so investors can come in
Once the owners and their adviser have decided to restructure (convert to an LLC, move the business into a new LLC, or swap shares into an ADGM or DIFC holding company), keep the Flip case moving: gather the facts, prepare the case and the asset register from the company's records, collect proof for each step, chase what is overdue, and report. The agent prepares and records; the owners and adviser decide, answer the tax check, sign and file.

What starts it
- When someone asks, e.g. “We're moving Al Noor into a DIFC holding company. Get the case ready.”
- On a schedule: chase open steps
- In the client's system: document added
What the agent does
- Check there is no case already
- Gather the facts
- Propose the case
- Brief the adviser
- Build the plan
What stays with a person
- Choosing the target (LLC, ADGM or DIFC holding company) and the route
- Answering and recording the tax check (an adviser's judgement)
- Valuing the business and its assets
- Agreeing terms with an investor
- Signing resolutions, transfers and novations; filing with authorities
- Completing or abandoning the case
What it never does
- Answer a tax-check question or say relief applies; the adviser does
- Open a case or build a plan without a person's confirmation
- Mark an asset moved or a step done without proof attached
- Tell staff, customers, counterparties or investors about the restructuring
- Use a deadline, notice period or condition from anywhere but Flip or Lexara
